Terms of Service

Thank you for your interest in our ALPHA Score program (the “Service”) and working with Abridge Law PLLC (the “Firm” or “we”). These Terms of Service (“Terms”) explain the nature and scope of our relationship with you for providing the Service. We believe that the attorney-client relationship is unique, and that it is very important that the basis of this relationship be discussed and agreed to from its inception, especially those issues relating to professional service fees. Therefore, we are providing the following information so that you know what you can expect from us.

Please read the following very carefully before you complete the ALPHA Score questionnaire. By submitting your ALPHA Score questionnaire , you accept and agree to be bound and abide by these Terms. If you do not want to agree to these Terms you may not enroll in or use the Service. 

Limited Scope of Service 

You have elected to engage us for the Service. The Service includes summary review and analysis of a limited set of your legal documents and other information provided by you through the ALPHA Score questionnaire. Our assessment is not a full audit of all of your legal files and records and is not a substitute for legal due diligence in investment or acquisition transactions. Our recommendations will be based solely on the information provided to us. You understand that any incorrect or incomplete information may impact the advisability of any recommendations that we may provide. 

Fees and Payments 

Unless we have agreed otherwise, we will charge you at the time that you request the Service.  Once paid, the Service is not cancellable and our fee is non-refundable.

Attorney-Client Relationship 

As we mentioned before, the attorney-client relationship is a special relationship. It requires open communications and an environment of confidence and faith. It is because of this very nature that the attorney-client privilege exists. This legally recognized relationship protects communications between a client and an attorney. Accordingly, all communications between yourself, your agents and this firm are kept in confidence. The following topics further describe this relationship. 

Expectations. We expect your full cooperation in matters related to providing the Service to you. Effective legal representation can occur only when a client provides all information known by or available to him or her that could affect that representation. This is where the confidence described above becomes paramount.

Duration. Our engagement will continue until we have completed the Service. At the end of that period, our relationship will terminate unless you execute a new Engagement Letter and Fee Agreement for Legal Services with fees as set forth on our standard fee schedule.

File Retention. Given the costs of storage and in an effort to keep our clients’ costs as low as possible, Abridge Law makes every effort to be as “paperless” as possible. To do so, we utilize comprehensive and safe electronic storage systems that have a high degree of electronic storage safety.  Archived files that are electronically stored will be deleted after six (6) years.

Choice of Law. Our agreement is entered into under and shall be governed by the laws of the State of New Hampshire excluding its choice of law provisions, even if our services involve actions and representation in other jurisdictions. 

Entire Agreement. These Terms constitute the sole and entire agreement between you and Abridge Law PLLC regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.
